I. General Business Terms
§ 1 Basic Provisions
(1) The following terms and conditions govern all contracts entered into between you and us, the supplier (Village Grocery Traders UG (haftungsbeschränkt)), via the website https://www.village-groceries.de/. Unless otherwise agreed, the inclusion of your own terms and conditions is expressly excluded.
(2) For the purposes of these regulations, a ‘consumer’ refers to any natural person who enters into a legal transaction that cannot be primarily attributed to their commercial or independent professional activities. The term ‘business entity’ encompasses any natural person, legal entity, or legally responsible partnership that enters into a legal transaction in pursuit of their commercial or independent professional activities.
§ 2 Contract Conclusion
(1) The subject matter of the contract is the sale of products.
(2) By displaying the product on our website, we make a binding offer to conclude a sales agreement under the conditions specified in the item description.
(3) The purchase agreement is formed through the online shopping cart system as follows:
Products intended for purchase are added to the shopping cart. You can access the shopping cart using the appropriate buttons on the navigation bar and make adjustments at any time.
After reaching the “Checkout” page and providing the necessary personal information, payment and shipping details, all order information is summarized on the order summary page.
If you opted for an instant payment method (e.g., PayPal / PayPal Express, Amazon-Payments, Sofort), you will either be directed to our online shop on the order summary page or redirected to the instant payment provider's website.
If redirected, enter your details as required. You will then be returned to our online shop's order summary page.
Before finalizing the order, you can review all information, make changes (including via the internet browser’s ‘back’ function), or cancel the purchase.
By clicking the "purchase” button to place the order, you legally accept the offer, thereby forming the purchase agreement.
(4) You are not obligated by any inquiries regarding offer creation that you convey to us. We provide you with a written and binding offer (e.g., via email) which you can accept within 5 days.
(5) Order execution and communication of all necessary contract details occur via email, in a semi-automated manner. Therefore, it is your responsibility to ensure that the email address provided is accurate and capable of receiving emails. Please ensure that our emails are not blocked by any spam filters.
§ 3 Right of Retention, Reservation of Ownership
(1) You may only exercise the right of retention if your claim arises from the same contractual relationship.
(2) Goods remain our property until full payment of the purchase price.
§ 4 Warranty
(1) Statutory warranty rights apply.
(2) As a consumer, you are requested to promptly inspect the product upon delivery for completeness, visible defects, and transport damage, and to promptly notify us and the shipping company of any complaints in writing. Failure to comply with this request does not affect your legal warranty claims.
§ 5 Governing Law, Place of Performance, Jurisdiction
(1) German law applies. This choice of law applies only to consumers if it does not result in the revocation of protection guaranteed by mandatory provisions of the law of the country where the consumer has their habitual residence (favorability principle).
(2) If you are not a consumer, but a business entity, legal entity under public law, or special fund under public law, our place of business is both the place of jurisdiction and performance for all services arising from the business relationship. The same applies if you do not have a general place of jurisdiction in Germany or the EU or if your domicile or habitual residence is not known at the time legal proceedings are initiated. This does not affect the right to initiate proceedings in another competent jurisdiction.
(3) The provisions of the UN Convention on Contracts for the International Sale of Goods are explicitly excluded.
§ 6 Subscription-Based Selling Terms
Subscription Plans- By purchasing a subscription for specific products on village-groceries.com, you agree to be charged automatically at regular intervals, as specified in the product description.
- Subscription plans can be monthly, quarterly, or annually depending on the product offering.
Billing and Payment- Subscription payments will be automatically charged to the payment method provided at the time of purchase.
- Payment is required upfront for each subscription period, and the amount will be deducted automatically on the renewal date unless the subscription is canceled.
- If your payment fails, we will notify you via email and attempt to charge your method again. Failure to complete the payment will result in the suspension of your subscription.
Cancellation Policy- You may cancel your subscription at any time by logging into your account and following the cancellation process.
- Cancellations must be made at least 3 days before the next billing cycle to avoid being charged for the next subscription period.
- If you cancel a subscription after the renewal date, the cancellation will apply to the next billing cycle, and no refund will be given for the current subscription period.
Modifications to Subscription Terms- We reserve the right to modify subscription pricing, product availability, or terms of service.
- Any changes will be communicated via email at least 7 days before they take effect. If you do not agree to the new terms, you must cancel your subscription before the new terms apply.
Refund Policy- We do not provide refunds for subscription payments once they are processed.
- If a product is damaged or defective, please refer to our Returns Policy for instructions on obtaining a replacement.
Subscription Product Availability- Some products may be available on a subscription basis only in specific regions or may be subject to stock availability. We reserve the right to discontinue any subscription product without notice.
- If a subscription product becomes unavailable, we will notify you and offer an alternative product or cancel the subscription with a refund for the remaining period.
User Account Responsibility- You are responsible for keeping your account information, including payment details, up to date.
- Any issues arising from incorrect payment information or an inactive payment method will be your responsibility.
Termination- We reserve the right to terminate any subscription if there is a violation of our Terms and Conditions or if payments are not made on time. We may notify you via email before termination.
